PRIMARY PURPOSE:

It is the primary responsibility of Legal Counsel to perform professional legal work in one or more specialized areas of law for MGM Resorts International and subsidiary organizations.  

  • Support the Company’s development and corporate transactional activities by providing strategic and proactive legal and counsel in one or more areas of law, including without limitation hospitality, real estate, construction, entertainment, and M&A.
  • Draft, negotiate and review a variety of domestic and international agreements relating to the Company’s development efforts, including consulting agreements, technical services agreements, leases, licensing and management agreements.
  • Support the Company’s transactional activity, including drafting and negotiating confidentiality agreements, coordinating due diligence efforts, and assisting in drafting and negotiation of letters of intent and other transaction documentation (e.g., purchase and sale agreements and joint venture agreements).
  • Support the Company’s Hospitality and Entertainment divisions, including in connection with location and appearance agreements, sponsorship agreements, venue agreements, and assisting on documentation related to more complex special events.
  • Assist with other commercial matters as needed by attorneys on the legal team.
  • Collaborate with, and potentially supervise, paralegals and support staff.
  • Inspire confidence in senior level business clients by consistently providing sound, practical legal advice and solutions to complex issues in a timely and understandable manner.
  • Exhibit a strong work effort while working efficiently, reliably and responsively.
  • Takes ownership of complex projects in one or more specialized areas of law with minimal supervision utilizing sound and independent judgment and problem‐solving skills.
  • Demonstrates leadership and team‐working skills in support of a fast‐paced, collaborative environment with many stakeholders.
  • Demonstrates confidence in risk‐managed decision making and judgment.
  • Exhibits utmost professionalism in all settings; is capable of deploying strong advocacy skills in a tactful and effective manner.

MINIMUM REQUIREMENTS:

  • Juris Doctor
  • 4+ Years of Prior Relevant Experience
